PUBLIC OFFER (OFFER)

FOR ENTERING INTO A PUBLIC CONTRACT FOR THE SALE AND PURCHASE OF GOODS

This document constitutes an official public offer (offer) in accordance with Articles 633 and 641 of the Civil Code of Ukraine, addressed to an unlimited number of individuals and legal entities, on behalf of Sole Proprietor ROSPUTNYI VLADYSLAV SERHIIOVYCH (hereinafter referred to as the “Seller”), to enter into a Public Contract for the sale and purchase of goods by remote means (hereinafter referred to as the “Contract”) under the terms set forth below.

1.TERMS AND DEFINITIONS

1.1. Public Offer — an offer by the Seller addressed to any individual to enter into a sale and purchase contract under the terms contained in this offer.

1.2. Online Store — the Seller’s website located at https://optimusgang.com, created for entering into retail sale and purchase contracts.

1.3. Goods — clothing, accessories, and other products offered for sale in the Online Store.

1.4. Acceptance — full, unconditional, and unreserved acceptance by the Buyer of the terms of this offer. Acceptance is deemed to occur upon full payment of the ordered Goods.

1.5. Order — a properly completed request by the Buyer for the purchase and delivery of the selected Goods.

2.SUBJECT OF THE CONTRACT

2.1. This public offer constitutes a public contract within the meaning of Article 633 of the Civil Code of Ukraine and is deemed concluded between the Seller and the Buyer from the moment the Buyer accepts all terms and provisions of this Contract without exception.

2.2. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Contract.

2.3. By entering into this Contract, the Buyer confirms that they have read and agreed to all its terms and unconditionally accept its provisions.

3.ORDER PLACEMENT PROCEDURE

3.1. The Buyer independently selects the Goods in the Online Store and places an Order, providing complete and accurate information required for its fulfillment.

3.2. Full payment for the Order constitutes acceptance of the terms of this Contract. From the moment the funds are credited to the Seller’s account, the Contract is deemed concluded.

4.PRICE AND PAYMENT PROCEDURE

4.1. The price of the Goods is indicated on the relevant page of the Online Store in the national currency of Ukraine — hryvnia (UAH).

4.2. Payment is made in the form of 100% prepayment.

4.3. The price of the Goods does not include any commissions charged by banks or payment systems for processing the payment. Such fees are paid by the Buyer independently and at their own expense.

4.4. The Buyer bears full responsibility for the accuracy and validity of the provided payment details.

5.DELIVERY AND RETURN TERMS

5.1. Shipment of the Goods is carried out within 14 (fourteen) business days from the moment of successful payment of the Order.

5.2. Delivery within Ukraine is carried out by “Nova Poshta” LLC. International delivery is carried out by “Ukrposhta” JSC. Delivery times are determined by the carrier. The Seller is not responsible for delays caused by the carrier.

5.3. For international delivery, the Buyer bears full responsibility for the payment of any customs duties, taxes, and fees in the destination country.

5.4. Return of Goods of proper quality is possible within 14 calendar days from the date of receipt. Return shipping costs are borne by the Buyer.

5.5. Exchange or return of Goods of proper quality is carried out provided that the Goods have not been used and their commercial appearance, consumer properties, seals, labels, and the payment document issued to the Buyer are preserved.

5.6. In case of termination of the sale and purchase contract, the funds paid for the Goods shall be refunded to the Buyer no later than 7 (seven) days from the date the Seller receives the returned Goods.

5.7. Attention! In accordance with Resolution of the Cabinet of Ministers of Ukraine No. 172 dated March 19, 1994, Goods of proper quality from the following categories are not subject to exchange or return: corsetry products; gloves; underwear; hosiery products.

5.8. If defects in the Goods are discovered within the established warranty period, the Buyer has the right, in accordance with the procedure and within the time limits established by law, to demand: a proportional price reduction; free elimination of defects; reimbursement of expenses for defect elimination.

6.INTELLECTUAL PROPERTY RIGHTS

6.1. All objects posted in the Online Store, including design elements, text, graphic images, photographs, and other materials (hereinafter referred to as the “Content”), are objects of the Seller’s exclusive rights.

6.2. The Buyer undertakes not to copy, reproduce, distribute, or use the Content for commercial purposes without the Seller’s prior written consent.

7.DISPUTE RESOLUTION

7.1. All disputes arising from this Contract shall be resolved through negotiations between the Parties.

7.2. Claims regarding obvious defects of the Goods (completeness, appearance) must be submitted by the Buyer in writing within 14 (fourteen) calendar days from the date of receipt of the Goods. If no claims are submitted within this period, the Goods are deemed accepted without claims regarding obvious defects.

7.3. If a dispute cannot be resolved through negotiations, it shall be resolved in court at the Seller’s location.

8.LIABILITY OF THE PARTIES

8.1. In case of breach of obligations under this Contract, the Party shall bear liability in accordance with this Contract and the current legislation of Ukraine.

8.2. The Seller is released from liability for non-performance or improper performance of obligations caused by incomplete or inaccurate delivery information provided by the Buyer.

8.3. The Seller is not responsible for minor discrepancies in the color of the Goods due to differences in color rendering of computer monitors.

8.4. The Parties are released from liability for non-performance of obligations caused by force majeure circumstances.

9.TERM OF THE CONTRACT AND TERMINATION

9.1. This Contract is public, enters into force upon Acceptance by the Buyer, and remains valid until full fulfillment of obligations by the Parties.

9.2. The Seller has the right to unilaterally amend this Contract by publishing a new version on the Website.

10.FINAL PROVISIONS

10.1. By accepting this Contract, the Buyer fully and unconditionally agrees to its terms, confirms that they are familiar with and satisfied with the price of the Goods, and agrees to the Privacy Policy, which is an integral part of this Contract.

10.2. This Contract is concluded with full understanding by the Parties of its terms and terminology and in compliance with Article 203 of the Civil Code of Ukraine.

10.3. The Contract is deemed concluded at the Seller’s location.
